**Confidentiality**NDA & Pledge Letter

**Documentation**2–12 Weeks

**Domestic Transaction**JPY / Advance Payment

**Import & Sales**Sales Reports

| Stage | Supplier | JDM Company LLC |
| --- | --- | --- |
| STEP 1Free Preliminary Check | You provide the product name and JAN code. | We verify export control applicability, required local documentation, and trademark registration status free of charge and report the results to you. We also disclose the name, address, and Corporate Number of the Japanese entity designated by us. |
| STEP 2Confidentiality Arrangements | Upon request, we execute a Non-Disclosure Agreement (in principle a bilateral agreement with us, or, where necessary, a tripartite agreement including the Japanese entity designated by us). | Prior to receiving detailed product information from you, we provide a written pledge letter (差入書) undertaking confidentiality and legal compliance. We also provide documents for your internal due diligence. |
| STEP 3Obtaining Documentation | Upon agreeing on the products to be handled and transaction terms (initial quantity, pricing, shelf life, etc., each discussed individually), you provide the required product information and documents. | Following testing at an accredited laboratory, we obtain a Declaration of Conformity or State Registration Certificate. As the importer, we act as the applicant and bear the costs. The manufacturer's name and manufacturing site address are stated on the certificate and product label (estimated lead times: 2–5 weeks for Declarations of Conformity for cosmetics; 7–8 weeks for State Registration of health foods and household chemicals; 8–12 weeks for certain cosmetics). |
| STEP 4Domestic Transaction in Japan | You enter into a sales contract with the Japanese entity designated by us and deliver the goods to a designated warehouse in Japan. Payment is made in Japanese yen by that entity to your bank account in Japan prior to delivery (advance payment). | Label stickers and circulation control codes are affixed, and after conducting a final pre-shipment verification, the Japanese entity designated by us ships the goods under a standard export declaration specifying Russia as the destination. |
| STEP 5Import & Sales | You review our sales reports. | We clear customs in Vladivostok and distribute the products. We report sales performance broken down by SKU, month, and sales channel. |

Lead times shown are practical estimates. Exact terms and schedules will be presented after the free preliminary check. Conditions for termination of transactions, including the handling of placed orders and remaining inventory, will be stipulated in the contract.

## Our Commitments to Suppliers

Before you provide any product information beyond the product name and JAN code, we will issue a written pledge letter (差入書) committing to the following terms.

1. We will keep all information relating to our transactions strictly confidential and will not disclose it to any third party without your consent.
2. Without your consent, we will not use expressions in advertising or elsewhere that imply an affiliation or partnership with you (except for mandatory indication of the manufacturer required by law).
3. We will not import your products without your consent.
4. We will not register your trademarks (including local-language equivalents) or domain names.
5. We will obtain your approval of Russian-language labels prior to printing.
6. We will comply with the Foreign Exchange and Foreign Trade Act (外為法) and other Japanese laws and regulations, as well as export controls and sanctions measures implemented by the Government of Japan (export declarations are filed by the Japanese entity designated by us as the exporter, and we cooperate fully in its verification process).
7. If any delivery delay or change in conditions is anticipated, we will notify you promptly upon becoming aware of it.
8. We will assign a dedicated contact person for each supplier to ensure consistent ongoing communication.

Confidentiality obligations do not preclude declarations, notifications, or labeling required by law, or responses to inquiries from government authorities or courts. Under EAEU technical regulations, the manufacturer's name and the address of the manufacturing facility are recorded on product labels and in official public registries.
